Terms of Service

These Terms of Service ("Terms") are a binding agreement between you (or the business you represent) and Arconetix LLC, a Wyoming limited liability company ("Arconetix", "we", "us"), governing your use of the Thredo platform at thredo.ai and any related applications, APIs, or services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

Thredo is a software-as-a-service platform that lets businesses connect their WhatsApp Business Account (and other supported messaging channels) so that an AI agent automatically replies to inbound customer messages on the business's behalf. The Service is offered to verified businesses; it is not intended for personal use.

We may change, add, or remove features at any time. We will give reasonable notice of changes that materially reduce functionality you depend on.

• You must be at least 18 years old and authorized to bind the business you represent.
• You agree to provide accurate, current information and to keep it up to date.
• You are responsible for all activity that occurs under your account. Keep your password and API tokens secure.
• Notify us at admin@arconetix.com immediately if you suspect unauthorized access.

• Plans. Thredo is billed on a subscription basis (monthly or annual) plus per-message AI credits, with prices published on our pricing page.
• Free trial. New accounts receive a 14-day free trial that includes a starter credit balance. No card is required to start the trial.
• Auto-renewal. Paid subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
• Usage-based fees. AI replies are metered and deducted from your credit balance at the per-message rate stated on your account dashboard. When your balance reaches zero, AI replies are paused until you top up.
• Cancellation. You may cancel at any time from your workspace settings. You retain access through the end of the paid period. No partial refunds.
• Taxes. Prices exclude any applicable taxes. You are responsible for taxes attributable to your use of the Service.
• Payment processor. All card transactions are processed by Stripe. Arconetix does not store full card numbers.

You agree not to use the Service to:

• Send unsolicited marketing, spam, or any messages to recipients who have not opted in to receive them.
• Violate the WhatsApp Business Messaging Policy or the WhatsApp Commerce Policy.
• Promote, sell, or otherwise distribute prohibited goods or services (illegal drugs, weapons, tobacco, adult content, regulated financial products, and the like).
• Impersonate any person or entity, including misrepresenting your affiliation with another business.
• Harass, threaten, defraud, or harm any person.
• Upload or transmit malware, attempt to compromise the Service, or interfere with its operation.
• Scrape, reverse-engineer, or use the Service to build a competing product.
• Resell or sublicense the Service to a third party without our written permission.
• Use the Service in any way that violates applicable laws, including privacy, anti-spam, consumer-protection, and export-control laws.

We reserve the right to suspend or terminate accounts that violate this section, with or without notice depending on the severity. Meta may also independently suspend a business's WhatsApp number for policy violations.

To use Thredo with WhatsApp, you must connect a WhatsApp Business Account you own or are authorized to manage. By doing so, you grant Arconetix limited authority to send and receive messages on that number, manage templates, and read the WABA's status — strictly to operate the Service for you.

Your use of WhatsApp through Thredo is also subject to Meta's own terms and policies, including:

• WhatsApp Commerce Policy

You are responsible for ensuring your messaging practices comply with these policies. Arconetix is not Meta and cannot act on Meta's behalf; Meta may independently restrict, throttle, or suspend your account for policy violations or quality issues.

You retain ownership of all data you and your customers put into the Service ("Customer Data"), including agent prompts, knowledge bases, and the content of conversations.

You grant Arconetix a limited, non-exclusive license to process Customer Data solely to provide and improve the Service — including transmitting messages via WhatsApp, generating AI replies, storing conversation history for your review, billing, and producing aggregate analytics that do not identify individuals.

We do not use Customer Data to train AI models. We do not sell Customer Data. Our handling is further described in our Privacy Policy.

The Service, the "Thredo" name and mark, the "Arconetix" name, all software, designs, copy, and documentation we provide are owned by Arconetix LLC and our licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service for your business during your subscription, on the terms set out here. We reserve every right not expressly granted.

You may not copy, modify, distribute, sell, lease, or create derivative works of any part of the Service except as expressly permitted.

• By you: cancel any time from your workspace settings. Access continues until the end of the paid period.
• By us, for cause: we may suspend or terminate your access immediately if you breach these Terms, fail to pay fees that are 30+ days overdue, or use the Service in a way that exposes us or third parties to legal risk.
• By us, for convenience: we may terminate with 30 days' notice. In that case we will refund prepaid fees for the unused portion of the period.
• Effect of termination: your access ends; we delete your Customer Data within 30 days, except where law requires us to retain it. You can request an export of your data before termination.

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Arconetix disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

AI replies generated by the Service may be inaccurate, incomplete, or inappropriate for the context. You are responsible for reviewing sensitive conversations and configuring guardrails (handoff triggers, tone, instructions) appropriate to your business.

We do not guarantee uninterrupted service. WhatsApp delivery depends on Meta and your customers' devices and networks, which are outside our control.

To the maximum extent permitted by law, in no event will Arconetix be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunity, even if advised of the possibility of such damages.

Arconetix's aggregate liability arising out of or relating to the Service, whether in contract, tort, or otherwise, will not exceed the greater of (a) the amount you paid us for the Service in the 12 months immediately before the event giving rise to the claim, or (b) USD $100.

Some jurisdictions do not allow exclusion or limitation of certain damages, so part of this section may not apply to you.

You agree to indemnify and hold harmless Arconetix LLC, its officers, directors, employees, and agents from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of (a) your use of the Service in violation of these Terms or applicable law, (b) your Customer Data, or (c) any claim by your customers relating to messages sent or received through your use of the Service.

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. The exclusive jurisdiction and venue for any dispute will be the state or federal courts located in Sheridan County, Wyoming, and both parties consent to that jurisdiction.

Before filing a formal claim, you agree to first contact us in writing at admin@arconetix.com and attempt to resolve the dispute informally for at least 30 days.

We may update these Terms from time to time. Material changes will be communicated by email to the workspace owner at least 30 days before they take effect; continued use after the effective date constitutes acceptance. Non-material edits (typos, clarifications) take effect on posting.

• Entire agreement. These Terms, together with the Privacy Policy and any order forms or invoices, are the entire agreement between you and Arconetix on this subject.
• Severability. If any part of these Terms is held invalid, the rest remains in effect.
• No waiver. Our failure to enforce a right is not a waiver.
• Assignment. You may not assign these Terms without our consent. We may assign them to a successor in interest (e.g. on sale or merger).
• Headings. Section headings are for convenience only and do not affect interpretation.
